$BERT First Depositor Bonus Promotion

1.1 This promotion (the "Promotion") is operated by BAM Management US Holdings Inc, d/b/a Binance.US, a company registered in Florida with registered address at 252 NW 29th St, Ste 1014, Fl. 10, Miami, FL 33127-3902 (the "Promoter", "we", "us").

2.1 Eligible participants who make a qualifying first deposit during the Promotion Period will receive a one-time bonus of $BERT tokens (the "Bonus") according to the tier structure in Section 5.

2.2 Promotion Period: The Promotion opens at August 21, 2026 at 12:01 AM ET and closes at August 29, 2026 at 11:59 PM ET, or earlier if the total Bonus pool of ~1,000,000 $BERT is exhausted, whichever comes first.

2.3 The Promotion is limited to qualifying depositors, or while the Bonus pool lasts. Qualification is determined by the timestamp of the confirmed deposit on Binance.US. Binance.US's records of deposit timing and order are the official record for determining qualification. If a participant is later found ineligible or disqualified, the next eligible participant in deposit-completion order may qualify instead, until the depositor cap or Bonus pool is reached.

2.4 How to Enter. Visit promo.binance.us/bert , enter your email address, and make a Qualifying Deposit during the Promotion Period. Participants who do not follow these steps will not be considered eligible for the Bonus. A fiat deposit is considered completed when the funds have settled and cleared into the participant's Binance.US account. A cryptocurrency deposit is considered completed when the required network confirmations have completed and the funds are credited and available in the participant's Binance.US account.

3.1 The Promotion is open to individuals who:

3.4 Employees, contractors, and immediate family members of the Promoter and its affiliates are not eligible.

4.1 A "Qualifying Deposit" is a first deposit of at least $100 USD (or equivalent value in accepted assets at the time of deposit, as determined by [PRICE ORACLE / EXCHANGE RATE SOURCE]) made to the participant's Binance.US account during the Promotion Period.

4.3 One shot. The Bonus tier is determined solely by the amount of the participant's single first deposit, fixed at the time that deposit is confirmed on-chain / credited to the account. Subsequent deposits do not upgrade the tier, and multiple deposits cannot be combined to reach or increase a tier.

5.1 The Bonus is calculated in $BERT at a fixed rate for this Promotion of 1,000,000 $BERT = $10,000 USD ($0.01 USD per $BERT):

5.2 The Bonus is denominated and paid in $BERT tokens. The number of $BERT tokens in each tier is fixed as shown above. The USD value of the Bonus will fluctuate with the market price of $BERT and may be worth more or less than the stated USD value at any time, including at unlock.

5.3 Subject to the Holding Period described in Section 6, the Bonus will be credited to the participant's account within 30 business days of the Holding Period being satisfied.

6.1 Holding Period. Rather than a post-crediting lock, the Bonus is subject to a pre-crediting holding requirement. Following a Qualifying Deposit, the participant must maintain a positive net deposit in their Binance.US account (i.e., must not withdraw all or part of the Qualifying Deposit) for a continuous period of 60 days following the date the Qualifying Deposit is confirmed (the "Holding Period").

6.2 The Bonus will be credited to the participant's Binance.US account only after the Holding Period has been satisfied in full.

6.3 If, at any time during the Holding Period, the participant withdraws all or part of the Qualifying Deposit such that the participant's net deposit is no longer positive, the participant forfeits eligibility for the Bonus in full, and no Bonus will be credited.

6.4 Deposit invalidity. If the Qualifying Deposit is cancelled, reversed, returned, charged back, found fraudulent, or otherwise rendered invalid at any time, including after the Bonus has been credited, the Bonus is forfeited, and the Promoter may claw back any Bonus already credited.

6.5 No lock or staking. $BERT is not currently stakeable on the Binance.US platform. The Bonus is not subject to any lock-up, vesting, or staking mechanism once credited pursuant to this Section 6, and is subject only to the platform's standard terms and withdrawal procedures.

7.1 The Promoter may disqualify any participant and void any Bonus where it reasonably believes there has been:

8.1 $BERT is a cryptoasset. Cryptoassets are highly volatile. The value of the Bonus and of any deposit can go down as well as up, and you may lose the entire value.

8.2 The Bonus is a promotional reward, not investment advice, a security offering, an income guarantee, or a promise of future value. Nothing in this Promotion constitutes financial, investment, legal, or tax advice.

8.3 Participants are solely responsible for any taxes arising from receipt of the Bonus. Bonuses may be taxable as income in your jurisdiction at the time of receipt or unlock. Consult a tax professional.

8.4 Charitable activities referenced in marketing for this Promotion are as described by the $BERT project in its own published materials (see References). They are undertaken by the $BERT project, are not funded directly by individual participant deposits, and participation in this Promotion does not constitute a charitable donation by the participant. Marketing claims regarding donation amounts must be verified against the project's own records before publication.

9.1 The Promoter may amend, suspend, or terminate the Promotion at any time for legal, regulatory, security, or operational reasons. Bonuses already credited will be honored per these Terms except in cases of abuse under Section 7.

9.2 These Terms are in addition to, and form part of, the platform's general Terms of Service and Privacy Policy. In case of conflict regarding this Promotion, these Terms prevail.

9.3 The Promoter's decisions regarding eligibility, tier assignment, timing, and abuse are final, subject to applicable law.

9.4 If any provision of these Terms is found invalid, the remaining provisions remain in effect.

9.5 These Terms are governed by the laws of the State of [US STATE], without regard to conflict-of-law principles, and disputes are subject to [COURTS / ARBITRATION MECHANISM, e.g. binding arbitration under AAA rules].

The market price of $BERT is variable and is not represented by the fixed promotional rate.

12.1 By participating, participants agree to release and hold harmless the Promoter, its affiliates, the platforms on which this Promotion is marketed, and each of their respective officers, directors, employees, agents, and representatives from and against any claim, liability, loss, damage, injury, cost, or expense arising out of or relating to participation in the Promotion or the acceptance, receipt, use, or misuse of any Bonus, to the fullest extent permitted by law.

12.2 The Promoter is not responsible for lost, late, incomplete, invalid, delayed, misdirected, inaccurate, or unverifiable deposits; technical failures; platform outages; unauthorized access; account restrictions; or other errors or issues that may affect participation, verification, or Bonus crediting.

13.1 This Promotion is not sponsored, endorsed, administered by, or associated with X/Twitter, Facebook, or any other social media platform. Participants understand that they are providing information to the Promoter and not to any social media platform.
